Rules of the Fair

 

1. General Provisions

1.1. These Regulations apply to each entity (hereinafter referred to as the “Exhibitor”) which participates in the FAST TEXTILE Fair in Rzgów (hereinafter referred to as the “Fair”), organized by PTAK S.A., entered into the register of companies maintained by the Regional Court for Łódź-Śródmieście in Łódź, the 20th Commercial Department of the National Court Register (KRS), under a KRS file number 0000396803, a fully paid-up share capital of PLN 842,190,500.00 (hereinafter referred to as the “Organizer”).

1.2. The Regulations constitute an integral part of the Terms and Conditions of Participation in the Fair and Application for Participation in the Fair.

1.3. All participants of the Fair shall also comply with the order regulations and the rules of the facility which apply at the Fair. 

2. Execution of the Agreement on the Participation in the Fair

2.1 The Exhibitor files a statement of intent concerning the participation in the Fair, through providing a representative of the Organizer and delivering a “Participation Application”, to be completed and signed by persons authorised to represent the Exhibitor hereinafter referred to as the “Application” or “Agreement”. Persons signing the Application also represent and warrant that they are duly authorised to execute the agreement for the Exhibitor. Sending the Application means that the Exhibitor has become familiar and accepts the Regulations and the Terms and Conditions of Participation, which therefore constitute an integral part of the agreement on the participation in the Fair.

2.2 The agreement on the participation in the Fair is executed at the moment of sending a completed Participation Application.

2.3 The above specified procedure is also applicable to the Exhibitor’s ordering all additional products and services that the Organizer offers in connection with the organization of the Fair.

2.4 The Organizer hereby stipulates the right to refuse to accept the Application without stating any reason therefor whatsoever. The Organizer will also provide this information by electronic mail, at the email address indicated in the Application. In these circumstances, the Parties are not considered that they have executed any contract and/ or agreement.

2.5 The Organizer may refuse that the Exhibitor participates in the Fair, if the Exhibitor is in arrears with any payments. In this case, the Parties agree that the Organizer has duly fulfilled its contractual obligations.

3. Payments

3.1. The prices of the exhibition area and other services related to the Exhibitor’s participation in the Fair are specified in the Terms and Conditions of Participation, and attachments thereto. The Exhibitor shall also pay the Organizer, in a timely manner, a fee for these services specified therein.

3.2. The dates and the method of paying the fee are specified in the Terms and Conditions of Participation.

4. Lease of the Exhibition Area

4.1. In the Application Form, the Exhibitor specifies the exhibition area.

4.2. The Organizer assigns the exhibition area, taking into consideration the wishes and requests of the Exhibitor, if possible and given the organizational and technical conditions.

4.3. The Organizer may change the location of the exhibition area, with the reservation that this change does not constitute an amendment to the agreement on the participation in the Fair and does not result in the Exhibitor’s acquiring a right to file a claim against the Organizer. The Organizer will inform the Exhibitor about the change of the location of the exhibition area by electronic mail at the e-mail address indicated by the Exhibitor in the Application.

4.4. The Organizer may change the numbers of the exhibition areas which shall not constitute an amendment to the agreement on the participation in the Fair and shall not result in filing any claims towards the Organizer. The Organizer shall notify about a change of numbers of the exhibition areas by electronic mail at e-mail address indicated by the Exhibitor in the Application Form.

5. Subexhibitors

5.1 The Exhibitor may sublease the entire or a part of the leased exhibition area to any other entity (Subexhibitor), only upon a prior written consent of the Organizer.

5.2 The Exhibitor will be fully liable for actions and omissions of its Subexhibitors, like for its own actions and omissions.

5.3 At the area referred to in point 5.1, the Subexhibitor may present only the products which comply with the concept of the Fair.

5.4 In the event of the violation of point 5.3, the Organizer may impose a contractual penalty of 25% of the fee paid for the participation in the Fair.

6. Advertising

6.1. The Exhibitor may exhibit and advertise its products (goods and/or services) only on the assigned exhibition area and on condition that its exhibits do not cover surrounding exhibitions and do not disturb a normal course of works performed by other Exhibitors. The Exhibitors will not use amplification equipment, additional lightning, etc., that may disturb a normal course of works of other Exhibitors.

6.2. The Exhibitor’s advertising may be placed outside the area of the leased stand for an additional fee, only upon consultation with the Organizer and obtaining its written consent.

6.3. Depending on the type of ordered advertising products, the Exhibitor and Subexhibitor will provide the Organizer with their contact data and electronic files including graphics, logo, trademarks and other materials to be published by the Organizer in connection with the organisation and/or promotion of the Fair, within two weeks from the date of announcing their participation, otherwise the Organizer is not obliged to publish these materials, subject to a right to fee for their publication.

6.4. The Organizer may refuse to publish the materials provided thereto by the Exhibitor to publish them in connection with the organization of the Fair, if it considers that they violate a due interest of the Organizer or any other participants of the Fair, the rights of third parties, commonly applicable laws and regulations, and good customs. At the same time, the Organizer stipulates a right to shorten or correct materials sent for publication.

6.5. The Organizer will not be held liable for the content of the obtained advertising, promotional or information materials that the Organizer or the Exhibitor publishes in connection with the organization or promotion of the Fair.

7. Liability

7.1 The Organizer is liable only for the damage that has been deliberately caused to the Exhibitor or any other participant of the Fair at the default of the Organizer or a person acting on its behalf.

7.2. The Exhibitor will hold a full financial liability, on the basis of risk, for any damage caused to the Organizer or third parties by the Exhibitor or a person acting on its behalf or representing its rights.

7.3. The Exhibitor will promptly notify the Organizer about each event that will or may cause damage.

7.4. The Organizer recommends that the Exhibitor should execute relevant property insurance contracts to cover the risk related to the Fair, as well as a third party liability for any damage caused in connection with the participation in the Fair.

8. Design, development and disassembly of non-standard stands

8.1. The Exhibitor may commence the assembly works at the stand not earlier than within 2 days prior to the commencement of the Fair, the Organizer may order that the works be discontinued, if it considers that they violate the Regulations of the facility or pose any threat to order or safety of persons or property.

8.2. During the installation and disassembly of the stands, it is forbidden to perform the works related to welding, grinding or any other works which will cause dust or fire threat.

8.3. After installation and disassembly, the Exhibitor will remove any remains.

8.4. During the entire period of the lease of the exhibition area, the Exhibitor will take care of order at the stand and in the communication routes around the stand.

8.5. The Exhibitor will comply with appropriate legal regulations and technical construction and installation standards, safety and hygiene at work regulations, sanitary and fire prevention regulations, etc.

8.6. The stands may be installed and disassembled only on the dates indicated by the Organizer.

8.7. During installation and disassembly, it is forbidden to disrupt the structure or cover of walls, floors or any other elements of the facilities where the Fair is organized.

8.8. After the end of the Fair, within the timeframe set by the Organiser to disassemble the stands, the Exhibitor will restore the exhibitor area delivered thereto to a previous condition, otherwise these works will be commissioned to a third party by the Organiser at the expense of the Exhibitor.

8.9. The individual development performed by the Exhibitor will be accepted by the Organizer.

9. Organisation of work at the stand

9.1. The Exhibitor will make its stand available to visitors on the days and during the hours of the Fair opening.

9.2. If the presentation on the stand is conducted with the use of any works, the Exhibitor will arrange by itself all the matters related to copyright and related rights to the works.

9.3. Exchange or supplementing the exhibition on the stand and cleaning the stand and its surrounding will take effect only outside the hours of the Fair opening to the visitors.

9.4. The representative of the Organizer may request the Exhibitor to promptly remove from the stand the elements which pose danger to persons or property or disturb the Fair in any other manner.

9.5. The Exhibitor may perform any and all promotional activities only within the stand area; these activities will not disturb the Fair or works of any other exhibitors.

9.6. The Exhibitor’s vacating the stand during the hours of opening the Fair for visitors requires a consent of the Organiser, upon prior written notification at the Fair office.

9.7. The Organizer will not be held liable for the Exhibitor’s things left at the vacated stand.

10. Order and organisational regulations

10.1. All participants of the Fair will comply with commonly applicable standards and safety and hygiene at work rules, fire protection and sanitary rules, as well as the Regulations and any other rules and regulations which apply at the Fair.

10.2. The Exhibitor will comply with order instructions made by a representative of the Organizer.

10.3. No smoking or using open fire and exploiting heating electrical devices is allowed at the site of the Fair. It is forbidden to bring in weapon, ammunition, explosives and irritating substances or substances which may cause fire to the site of the Fair.

10.4. It is forbidden to block evacuation routes, access routes and drives to the fire-fighting devices.

10.5. The Exhibitor and people who represent its rights will wear an ID badge, in a visible place, issued by the Organizer and subject themselves to controlling procedures conducted at the request of the Organizer by a licensed security agency which will watch the security of the Fair.

10.6. On the premises of Exhibition and Trade Center Ptak EXPO hall it is strictly forbidden to:

- stick partition walls of the stand and display units with every kind of stickers, labels, brochures and information etc. by using chemical substances, foam adhesive glue, double-sided adhesive tapes and other adhesive systems which may cause permanent and irreparable damage,

- mechanical interference in partition walls of the stand which causes irreversible damage to the wallboard.

Failure to comply with the rule indicated above will result in Organizer’s imposition of a financial penalty adequate to the size of the damaged wallboard in the amount of 27 EUR/m2 net.

11. Final Provisions

11.1. The Organizer hereby stipulates the right to change the date or the location of the Fair, or to cancel the Fair. The Organizer will promptly notify the Exhibitor about these changes. If the Fair is cancelled, the Organizer will reimburse the Exhibitor all the advance payments that have been already made.

11.2. All the complaints will be promptly filed with the Organizer in writing, but not later than at the moment of completing the disassembly the stands. The complaints that are filed after this date will be considered unreasonable.

11.3. The Exhibitor hereby explicitly confirms that the Organizer has not made any representations or warranties thereto concerning economic results achieved by the Exhibitor due to the participation in the Fair and will not be entitled to file any claims thereunder with the Organizer.

11.4. The agreement on the participation in the Fair will be governed under and interpreter in compliance with laws of Poland. Any and all disputes between the Parties under the Agreement shall be settled by a common court of the jurisdiction pertinent to the registered office of the Organizer.
